Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and YOU IDENTITY Inc. ("YOU ID," "we," "us," or "our") governing your access to and use of our website at whoyouare.ai, our waitlist, and any related pages and services (collectively, the "Services"). Please read these Terms carefully. By accessing or using the Services, joining the waitlist, claiming a .you handle, or making any payment, you agree to these Terms. If you do not agree, do not use the Services.
1. Who May Use the Services
You must be at least 18 years old and able to form a binding contract to use the Services. The Services are currently offered to users in the United States. By using the Services you represent that you meet these requirements and that the information you provide is accurate and belongs to you.
2. The Waitlist and Early Access
The Services currently include a pre-launch waitlist. Joining the waitlist registers your interest, lets you hold or claim a .you handle subject to availability and these Terms, and assigns you a position in line.
Your position is not a guarantee. Position is calculated using a formula that accounts for when you joined and how many people you refer who complete sign-up. We may adjust, recalculate, or change the methodology for positions at any time. Position numbers and percentages are estimates and may change as others join, refer, or leave.
Early access and launch are not guaranteed. We make no promise that the Services will launch, launch on any particular timeline, include any particular feature, or that joining the waitlist or making any payment entitles you to any product, payment, benefit, or compensation. Forward-looking statements about YOU ID, including descriptions of future features such as participating in the value of your data or sending and receiving money through a .you identifier, describe our current intentions and are not commitments.
3. Accounts and Verification
To join the waitlist you provide a phone number, which we verify by sending a one-time code. The verification code also serves as your way to sign back in, there is no password. You are responsible for maintaining access to your phone number and for activity that occurs through your verified account. Notify us promptly if you believe your account has been accessed without your authorization.
You agree to provide accurate information and to keep it current. You may not create accounts using a phone number you do not control, impersonate another person, or register on behalf of someone else without authorization.
4. .you Handles: Holding, Claiming, and Competition
When you complete sign-up you may select a .you handle, subject to availability and the formatting rules we apply (for example, lowercase letters, numbers, dashes, and underscores within length limits).
Holding a handle is not the same as owning it. Selecting a handle without paying places a free hold on it. A free hold is not a guarantee and does not give you exclusive rights to that handle. More than one person may hold the same handle at the same time, in the order they joined. A free hold only reflects your place in line for that handle. It can be taken from you as described below.
Anyone holding a handle can be displaced. While a handle is held and not yet permanently locked, any person holding that handle can pay to lock it and take it outright, at any time, including someone who joined after you. If another person locks a handle you are holding, you lose that handle. We will route you to choose a new handle and, where you have opted in to messaging, notify you.
Resolution. On a name-resolution date that we will set and communicate, the ability to pay to lock handles ends. At that point, for each handle that no one has paid to lock, the handle is granted to the first person in line for it, and everyone else holding that handle loses it. Losing a held handle through this process, or because someone paid to lock it first, is a normal and expected outcome of the Services.
Permanently locked handles. A handle that has been paid for and locked, or granted at resolution to the first person in line, becomes permanently associated with that account. A permanently locked handle is not subject to being taken by another person and is not reclaimed for inactivity. Once a handle is permanently locked to an account, it is gone from the pool for everyone else.
General handle terms. A .you handle is a username reserved for use within the Services. Claiming or locking a handle does not transfer ownership of any trademark or other intellectual property to you, and does not give you rights outside the Services. We may modify, reclaim, or reassign handles that infringe a third party's rights, that impersonate others, that are offensive or misleading, that are obtained through abuse of the Services, or where we are required to do so by law. We will use reasonable efforts to notify you before acting except where impractical or where doing so would create risk.
5. Paid Tiers, Locks, and Payments
The Services offer paid options that let you lock a handle and secure related benefits before launch.
What the paid tiers are. We currently offer paid options including an early lock and a higher founder tier. The price, benefits, and availability of each tier are presented to you at the point of purchase. Paying to lock a handle makes that handle permanently associated with your account as described in Section 4, and may take that handle from others who are holding it.
You are paying on speculation. By making any payment you acknowledge and agree that you are purchasing a speculative, pre-launch position and the locking of a handle, and nothing more. You are not purchasing a guarantee that the Services will launch, that any future feature will exist, or that you will receive any product, payment, benefit, or compensation. You understand that we may never launch, and that you are paying based on your own expectation that we will. Your decision to pay is made at your own risk.
All sales are final. All payments are final and non-refundable, whether or not the Services launch, whether or not any future feature is released, and whether or not you continue to hold the handle you locked. We do not provide refunds, credits, or exchanges. Some jurisdictions provide consumers limited non-waivable refund or cancellation rights, and nothing in these Terms removes a right you cannot legally waive.
Payment processing. Payments are processed by our third-party payment processor. We do not store full payment card details. Your use of the payment process is also subject to the processor's terms. You represent that you are authorized to use any payment method you provide.
Promotional codes. We may, from time to time, offer promotional codes that grant a handle lock without payment. Promotional codes have no cash value, may be limited, modified, or discontinued at any time without notice, and may not be combined, sold, or transferred. A handle locked through a promotional code is treated the same as a paid lock for the purposes of these Terms.
6. Referrals
The Services include a referral feature. You may share a referral link tied to your .you handle. When people sign up through your link, your position may improve according to our formula.
You agree not to abuse the referral system, including by creating fake accounts, using numbers you do not control, automating sign-ups, paying for or incentivizing sign-ups in violation of these Terms, or otherwise manipulating positions. We may, in our discretion, discount referrals, adjust positions, suspend referral features, or remove accounts that we determine are engaged in abuse. Our determinations about abuse are final.
7. Messaging
By providing your phone number and completing the consent step, you agree to receive text messages from us, including a verification code and, where you have opted in, updates about your place in line, launch news, notifications about your referrals, and notifications if a handle you were holding is taken. Message and data rates may apply and message frequency varies. You can opt out of non-essential messages at any time by replying STOP, and get help by replying HELP. Our messaging practices are described further in our Privacy Policy.
8. International Interest
The Services are currently offered to users in the United States. If you provide a phone number outside the United States, we do not enroll you in the live waitlist. Instead, with your submission, we collect your name, phone number, and the country indicated by your number so we can gauge interest and contact you if and when we open the Services in your region. We describe this further in our Privacy Policy.
9. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of these Terms.
- Interfere with, disrupt, overload, or attempt to gain unauthorized access to the Services, our systems, or other users' accounts.
- Probe, scan, or test the vulnerability of the Services, or breach security or authentication measures.
- Use bots, scrapers, or automated means to access or sign up for the Services except as we expressly permit.
- Submit false information, impersonate any person or entity, or misrepresent your affiliation.
- Upload or transmit malicious code or content that is unlawful, harassing, defamatory, or infringing.
- Reverse engineer, copy, or create derivative works of the Services except where the law prohibits that restriction.
We may suspend or terminate access for anyone who violates these Terms or whose use creates risk or legal exposure for us or others.
10. Intellectual Property
The Services, including their design, text, graphics, logos, software, and the YOU ID and YOU brand, are owned by YOU IDENTITY Inc. or our licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. We reserve all rights not expressly granted.
If you submit feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.
11. Privacy
Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and share information. By using the Services you agree to the practices described there.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY POSITION, HANDLE, LOCK, PAYMENT BENEFIT, FEATURE, OR LAUNCH WILL BE PROVIDED OR RETAINED. YOUR USE OF THE SERVICES, AND ANY PAYMENT YOU MAKE, IS AT YOUR OWN RISK.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU ID AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR ANY PAYMENT YOU MAKE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
14. Indemnification
You agree to indemnify and hold harmless YOU ID and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
15. Changes to the Services and Terms
We may modify, suspend, or discontinue all or part of the Services at any time. We may also update these Terms. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.
16. Termination
You may stop using the Services at any time. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or where necessary to protect the Services or others. Termination does not entitle you to any refund. Provisions that by their nature should survive termination will survive, including payment terms, intellectual property, disclaimers, limitation of liability, and indemnification.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You agree that any dispute arising from these Terms or the Services will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts, except where applicable law gives you the right to bring claims elsewhere.
18. Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and YOU ID regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

Because YOU ID handles identity information, takes payments, and intends to offer features involving the value of personal data and the sending or receiving of money, you should have these Terms reviewed by qualified legal counsel before relying on them at launch.
